9. Limitation of Liability

To the maximum extent permitted by law, Coupé B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of (or inability to use) the Website, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Coupé B.V.’s total liability for any claim arising out of or relating to the Website or these Terms will not exceed the greater of (a) the amount you paid to Coupé B.V. in the twelve (12) months before the event giving rise to the claim, or (b) €100.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for intent (opzet) or gross negligence (grove schuld) where such limitation is not permitted.

10. Indemnification

You agree to indemnify, defend, and hold harmless Coupé B.V., its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Website, (b) information you submit through the Website, (c) your violation of these Terms, or (d) your infringement of any third-party rights.

11. Force Majeure

Coupé B.V. will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, pandemics, power or internet outages, cyberattacks, and failures of hosting, telecommunications, or cloud providers.

12. International Use

Coupé B.V. is established in the Netherlands and operates an educational services website with services available to participants across Canada through online delivery. We make no representation that the Website is appropriate or legally available for use in all locations. You are responsible for compliance with local laws and regulations that may apply to your access and use.

13. Governing Law and Jurisdiction (Netherlands)

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of the Netherlands.

To the extent permitted by applicable law, the courts of Amsterdam, the Netherlands, will have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. If you qualify as a consumer under applicable mandatory consumer protection rules, you may also have the right to bring claims in the courts of your habitual residence, and mandatory consumer protections may still apply.

14. Dispute Resolution and Informal Resolution

Before starting formal proceedings, you agree to contact us and provide a brief written description of the dispute and your preferred resolution. We will try to resolve disputes in a practical manner within thirty (30) days.

Nothing in this section limits either party’s right to seek interim or injunctive relief where necessary.

15. Termination

We may suspend or terminate your access to the Website at any time if we reasonably believe you have violated these Terms or if your use creates security, legal, or operational risk.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive termination.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Coupé B.V. regarding the Website and supersede any prior or contemporaneous understandings relating to the Website.

18. Assignment

Coupé B.V. may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets. You may not assign or transfer these Terms without our prior written consent.

19. No Waiver

Failure by Coupé B.V. to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.

20. Changes to These Terms

We may update these Terms from time to time to reflect operational, legal, or content changes. Updated Terms will be posted on this page and, where changes are material, will generally take effect fourteen (14) days after posting.
